Acceptance of these terms
These Terms of Service (“Terms”) govern your use of the idp.net website and the services, support and products offered by Integrated Data Processing, Inc. (“IDP”). By using the site, submitting a form, or ordering from us, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the site.
Our services
IDP provides secure internet hosting, security design and remote management, programming and database services, technical support, and IT products. The specific scope, pricing and duration of any service are set out in a quote, proposal or service order agreed with you, and those documents control if they differ from these Terms.
Third-party services
Some services we offer or resell, such as SpamRejection.com and Authorize.Net payment processing, are provided under their own terms and policies. Your use of those services is also subject to those terms.
Accounts and your responsibilities
- Give us accurate information and keep it current.
- Keep your passwords and credentials confidential, and tell us promptly if you suspect unauthorized use.
- You are responsible for activity under your account and for the content you host or send through our systems.
- You are responsible for maintaining your own copies of critical data unless a written agreement says otherwise.
Fees and payment
Fees are as quoted or as stated on your invoice. Unless we agree otherwise in writing, invoices are due on receipt, payments are non-refundable once services have been delivered, and we may suspend services for non-payment after reasonable notice. Support incidents and plans are billed as quoted at the time of the request.
Acceptable use
You may not use our systems or services for anything unlawful, to send spam or malware, to attack or probe other systems, or to interfere with other customers or with the operation of our network. Use is governed by our Acceptable Use Policy. We may suspend or remove content or access that violates these Terms or that threatens the security or stability of our systems.
Intellectual property
The idp.net website, its design and its content belong to IDP or its licensors and are protected by law. You may not copy or reuse them without permission. Unless a written agreement says otherwise, you keep ownership of the content you provide to us, and you give us the limited right to host, store and process it in order to provide the services.
Disclaimers
The website and services are provided “as is” and “as available.” To the fullest extent permitted by law, IDP disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that services will be uninterrupted or error-free, although we work hard to keep them available and secure.
Limitation of liability
To the fullest extent permitted by law, IDP will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. IDP's total liability for any claim relating to a service is limited to the fees you paid for that service in the three months before the claim arose.
Termination
You may stop using our services at any time, subject to the terms of any service order. We may suspend or end your access if you violate these Terms or if we are required to do so by law.
Changes to these terms
We may update these Terms from time to time. The “last updated” date above shows the current version. Continued use of the site or services after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.
